JOB DESCRIPTION:

Position Title:              Senior Corporate Counsel

Reports To:                 Deputy General Counsel

Position Summary:

 

This position of Senior Corporate Counsel key member of the Bendix Commercial Vehicle Systems LLC Legal Department reporting directly to the Deputy General Counsel.

 

Essential Functions:

 

  • Must be a strong leader of both people and legal matters with considerable presence, personal drive, and excellent interpersonal and communication skills with an acute attention to detail. Must be able to quickly gain the trust and respect of clients, colleagues and management by serving as a pragmatic yet strategic partner in business and legal decisions while supporting the execution of strategic plans and achieving aggressive commercial growth targets while also managing risk.
  • Resolve legal issues, provide proactive legal advice and manage high risk, high complexity matters for the business. Help drive the continuous development and improvement of the KB/Bendix legal department and its processes.
  • Handle the review, drafting and negotiating of all types of agreements, letters of intent, memoranda of understanding, leases and licenses impacting various areas of the business, including sales, distribution channels, procurement, IT, and the like for a publicly traded company. Identify, counsel, draft and train on all applicable risk-shifting provisions in various contracts, including fundamental principles of antitrust compliance.
  • Support sourcing contracting processes, including drafting and negotiating supply contracts; support the drafting of standard PO terms and conditions; provide counsel and advice in evaluating disputes with suppliers under the UCC; and drive process for timely and cost-effective dispute resolutions. Provide primary support to the business with respect to mergers and acquisitions (M&A) and other strategic alliances from due diligence through closing.
  • Provide advice and counsel to management and HR professionals on a broad range of employment issues including recruiting, hiring, employee relations, discipline and terminations, layoffs, internal investigations, leaves of absence, FMLA, ADA, wage and hour compliance, contingent worker issues, separation agreements, benefits issues, workers' compensation, and compliance with applicable state and federal employment laws and regulations.
  • Drive the internal coordination efforts and work with outside counsel to efficiently and cost-effectively handle and evaluate litigation activities. Drive conflict resolution processes, including alternative dispute resolution to final resolutions.
  • Manage corporate governance relating to Bendix and its North American affiliates. Support the implementation and ongoing operation of Global Data Protection Regulation (GDPR) requirements. Support import and export compliance matters, including ITAR and government contracting flow-down matters.
  • Assist in proposing, drafting, updating and maintaining policies and procedures for the business.

 

Knowledge:

 

  • Familiarity with general real estate and leasing matters.
  • Extensive knowledge with general commercial contract law and knowledge of the Uniform Commercial Code (UCC).

 

Experience:

 

  • 7-10 years of broad-based legal experience as in-house counsel with a multi-national corporation and/or with a law firm with international practice. Experience with publicly traded companies a plus. 
  • Certificate of Licensure: Member in current good standing with at least one state bar association, with eligibility to be admitted by “corporate counsel” waiver into State of Ohio as required.
  • Deep experience with general commercial contract law and knowledge of the Uniform Commercial Code (UCC). Experience with publicly traded companies strongly preferred.
  • Experience with corporate antitrust matters
  • Extensive experience supporting mergers & acquisitions, divestitures and the management of due diligence and electronic data rooms.

 

Skills:

 

  • Must be both a capable leader and individual contributor, as well as an effective partner to the KB/ Bendix business. Must have proven ability to counsel legal clients using a solid business solutions perspective.
  • Ability to work independently within a fast-paced, global manufacturing and supply business environment that services the commercial vehicle.
  • A strong bias for action along with a proven ability to prioritize work within a dynamic environment, work effectively on multiple matters, and drive each to a successful conclusion for the client and overall business. 
  • Demonstrated ability to manage those multiple projects simultaneously while completing multi-task, multi-deadline, cross-functional projects on time and on budget.
  • Proven ability to manage people as direct or matrix reports, as well as the management of department budgets.
  • Strong leadership, management, negotiation, client service, communication and interpersonal skills.
  • Excellent verbal and written skills, including the drafting, reviewing and negotiating of various commercial contracts, leases and agreements.
  • As a member of a global Legal team, ability to function effectively with senior executive, operational and functional management and at all levels of the business.
  • Demonstrated ability to distinguish relevant facts, assimilate and analyze supporting facts and apply legal principals to risk analysis and business options. Ability to clearly translate into lay terms and effectively communicate legal advice that affects business opportunities and drives practical solutions.
  • Proficiency with Microsoft® Office™ suite of products, including Word™, Outlook™, PowerPoint™ and Excel™.

 

Education:

 

  • Juris Doctor degree from an accredited U.S. law school.
